Subscription Agreement

1. Introduction

This Subscription Agreement (“Agreement”) is entered into by and between Web Design Papa (“Provider”) and you (“Client”) for the provision of website services. By subscribing to our services, the Client agrees to the terms and conditions outlined in this Agreement.

2. Services Provided

The provider agrees to deliver a custom one-page or any website designed using paid themes and plugins under an agency subscription plan. The services include:
  • Custom website design and development
  • Ongoing maintenance and updates
  • Hosting on Provider’s OpenLiteSpeed server
  • Support and troubleshooting

3. License Keys and Subscriptions

The Client acknowledges and agrees that the paid themes and plugins used on the website are licensed under the Provider’s agency subscription plan. As such:

  • These themes and plugins cannot be transferred to the Client.
  •  If the Client wishes to transfer the website to their own hosting, they must purchase their own license keys for the necessary themes and plugins.
  • Without the appropriate license keys, the website may not function as intended.

4. Migration to Client’s Hosting

If the Client chooses to transfer the website to their own hosting:
– The Client must pay a migration fee of [$250].
– The Client acknowledges that migration may only work on a server that matches the Provider’s current server type (OpenLiteSpeed). Migration to Nginx or other server types may not be successful.
– The Provider will assist with the migration process, but the Client is responsible for ensuring their server is compatible.

5. Payment and Fees

  • The subscription fee for the website service is $132 per year, payable annually.
  • The Client must provide one months’ notice before the current subscription expires if they wish to cancel or make changes to their subscription.
  • If the Client fails to provide notification, the subscription will auto-renew, and fees are non-refundable after auto-renewal.

6. Termination

Either party may terminate this Agreement with [1 month] notice. Upon termination:

  • The Client will no longer receive maintenance, updates, or support from the Provider.
  • The website and its components, if transferred, must comply with the terms outlined in Section 3 regarding license keys.

7. Limitation of Liability

Provider will not be liable for any issues arising from the migration to a different server type, failure to purchase the necessary license keys, or any other factors outside the Provider’s control.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any legal actions, suits, or proceedings arising out of or relating to this Agreement shall be brought exclusively in the federal or state courts located in Austin, Texas.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes any prior or contemporaneous understandings, whether written or oral.

10. Amendments

This Agreement may be updated from time to time. It is your responsibility to review the Agreement before renewing your subscription or purchasing a new subscription.

11. Accessibility Disclaimer

By agreeing to the Terms of Service, you are also agreeing to our subscription agreement. If you do not agree with any part of the subscription agreement, you should not proceed with the subscription.
By subscribing to our services, the Client acknowledges that they have read, understood, and agree to the terms and conditions of this Agreement.
